Terms of Service

These Terms of Service govern access to and use of Proofrun.
Proofrun is a product operated by INTNT. By creating an account, accessing the application or using Proofrun, you agree to these Terms.
If you use Proofrun on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Proofrun service
Proofrun is a product discovery research service.
Proofrun can create persistent Discoveries around product questions and may perform activities such as:
- framing research questions;
- creating and evaluating hypotheses;
- searching and reviewing source material;
- creating Research Artifacts;
- identifying supporting and contradictory Evidence;
- identifying research gaps;
- producing Research Briefs;
- monitoring selected Discoveries;
- reading data from connected services when you authorize those connections.
Proofrun is designed to support product decisions. It does not make business decisions on your behalf.
2. Accounts and workspaces
You are responsible for maintaining accurate account information and protecting access to your account.
You are responsible for activity performed through your account unless caused by a failure of Proofrun's systems.
Workspace owners and administrators may manage workspace membership, permissions, integrations and other settings on behalf of their organization.
You must not share authentication credentials in a way that undermines account security or workspace controls.
3. Connected services
Proofrun may allow you to connect third-party services such as analytics, code, project management, knowledge or research systems.
Connecting a third-party service is optional.
When you connect a service, you authorize Proofrun to access the selected resources and data within the permissions shown during the connection process.
For Google Analytics, Proofrun requests read-only access and uses the data to provide product research features you request.
You are responsible for ensuring that you have the authority to connect a third-party account or resource to Proofrun.
You may disconnect supported integrations at any time.
Third-party services are governed by their own terms and privacy policies. Proofrun is not responsible for the availability, accuracy or operation of third-party services.
4. Your content and data
You retain your rights in content and data you provide to Proofrun.
You grant Proofrun a limited right to host, process, reproduce and analyze that content only as reasonably necessary to:
- provide the service;
- execute requested research;
- operate connected integrations;
- maintain security and reliability;
- provide support;
- comply with law.
This permission ends when the relevant data is deleted from active systems, subject to reasonable backup, audit, legal and security retention.
You are responsible for ensuring that you have the rights and permissions necessary to provide data to Proofrun.
5. Research outputs and AI-generated content
Proofrun uses automated systems and artificial intelligence.
Research Briefs, hypotheses, Evidence classifications, summaries, recommendations, extracted information and other generated outputs may contain mistakes, omissions or incorrect interpretations.
Outputs may be incomplete or inconclusive.
Proofrun does not guarantee that:
- a research conclusion is correct;
- a source is complete or current;
- a hypothesis is true;
- a recommendation will produce a particular business outcome;
- a market opportunity exists;
- customers will buy a product;
- a product decision will succeed.
You remain responsible for reviewing outputs and making product, business, legal, financial and operational decisions.
Proofrun is not a substitute for professional legal, financial, medical or other regulated professional advice.
6. Evidence and source limitations
Proofrun distinguishes source material from interpreted Evidence.
Public web information can be incomplete, biased, outdated or inaccurate.
Connected analytics may describe observed behavior but may not explain why that behavior occurred.
Survey responses may describe stated preferences but do not necessarily establish actual purchasing behavior.
Research results should be considered in context.
Contradictory, mixed and inconclusive outcomes are valid Proofrun results.
7. Acceptable use
You may not use Proofrun to:
- violate applicable law;
- infringe intellectual property, privacy or other rights;
- access systems or data you are not authorized to access;
- upload malicious code;
- interfere with or disrupt the service;
- attempt to bypass technical limits or access controls;
- scrape, probe or reverse engineer the service except where such restriction is prohibited by law;
- use Proofrun to facilitate fraud, abuse or unlawful surveillance;
- provide credentials or connected resources that you are not authorized to use.
We may limit, suspend or terminate access when necessary to protect the service, users or third parties.
8. Service changes and availability
Proofrun is an evolving product.
Features may be added, changed, limited or removed.
Research methods, providers, models, integrations and infrastructure may change over time.
Beta, preview or experimental functionality may be incomplete or change without notice.
We aim to operate Proofrun reliably, but we do not guarantee uninterrupted or error-free availability.
9. Fees and billing
Some Proofrun features may require payment.
Applicable prices, usage terms, authorization limits, subscriptions or other billing conditions will be shown before or when you purchase or authorize paid functionality.
You agree to pay applicable charges associated with your account.
Payment processing may be performed by third-party payment providers.
Unless otherwise required by law or expressly stated at purchase, fees already incurred for completed work are non-refundable.
Proofrun may change pricing for future purchases or future billing periods. Changes do not retroactively alter charges already incurred.
10. Intellectual property
Proofrun, its software, interfaces, branding, research systems, designs and related intellectual property are owned by INTNT or its licensors.
These Terms do not transfer ownership of Proofrun intellectual property to you.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use Proofrun for your internal business or professional purposes.
Feedback you voluntarily provide may be used to improve Proofrun without obligation to you, provided we do not publicly attribute confidential feedback to you without permission.
11. Confidentiality
If you provide non-public business information through Proofrun, we will treat that information according to our Privacy Policy and applicable contractual obligations.
You are responsible for deciding what confidential information your organization permits users to provide to external services.
If separate written terms, a data processing agreement or enterprise agreement applies, that agreement may provide additional confidentiality obligations.
12. Suspension and termination
You may stop using Proofrun at any time.
Where product controls are available, you may disconnect integrations, archive Discoveries or close your account.
We may suspend or terminate access if:
- you materially violate these Terms;
- payment is overdue where applicable;
- your use creates a security or legal risk;
- we are required to do so by law;
- continued operation of the account would materially harm Proofrun, users or third parties.
Where reasonable, we will attempt to provide notice before suspension or termination.
Sections that by their nature should survive termination will remain in effect.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFRUN IS PROVIDED "AS IS" AND "AS AVAILABLE."
WE DISCLAIM WARRANTIES THAT ARE NOT EXPRESSLY REQUIRED BY APPLICABLE LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY.
WE DO NOT WARRANT THAT RESEARCH OUTPUTS, AI-GENERATED CONTENT, THIRD-PARTY DATA OR CONNECTED SERVICE DATA WILL BE COMPLETE, CORRECT OR SUITABLE FOR A PARTICULAR DECISION.
Nothing in these Terms excludes rights or warranties that cannot legally be excluded.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTNT AND PROOFRUN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL OR DATA, ARISING FROM OR RELATED TO USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO PROOFRUN DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- USD 100.
These limitations do not apply where liability cannot legally be limited.
15. Indemnification
To the extent permitted by law, if you use Proofrun on behalf of a business or organization, that organization agrees to indemnify and hold harmless INTNT and its personnel from third-party claims arising from:
- unlawful use of Proofrun;
- content or data provided without necessary rights;
- violation of these Terms;
- violation of another person's rights.
This section does not apply to the extent a claim results from Proofrun's own unlawful conduct.
16. Governing law and disputes
Unless mandatory law requires otherwise, these Terms are governed by the laws of Brazil.
Any dispute arising from these Terms or Proofrun that cannot be resolved informally will be submitted to the courts with jurisdiction under applicable Brazilian law.
17. Changes to these Terms
We may update these Terms as Proofrun evolves.
If we make material changes, we will update the date at the top of this page and may provide additional notice.
Changes apply prospectively unless otherwise required by law.
Continued use of Proofrun after updated Terms become effective constitutes acceptance where permitted by law.
